These terms govern your use of ProofNod. By creating an account or using the service you agree to them. Please read the disclaimers and the billing and refund sections carefully.
By registering for or using ProofNod you enter a binding agreement with us. If you use the service on behalf of a business, you confirm you are authorized to accept these terms for that business.
ProofNod helps freelancers and studios create change orders and capture structured client approvals. When a client approves, we store an immutable record of what was approved, along with a timestamp and supporting metadata.
ProofNod is not a law firm and does not give legal advice. It is not a certified or qualified electronic signature service under eIDAS. Approval records are evidentiary records to help show agreement; they are not a guarantee of legal enforceability. You remain responsible for your own contracts, invoices, taxes, and legal compliance, and should use ProofNod alongside your own client agreements and professional advice.
You must be at least 18 years old to use ProofNod. You agree to provide accurate information, to keep your login credentials secure, and to be responsible for all activity under your account. Tell us promptly at hello@proofnod.com if you suspect unauthorized use.
You agree not to:
You keep ownership of the content and approval records you create. You grant us a limited license to host, process, and display that content only as needed to operate the service for you. You confirm you have the rights to the content and client data you submit.
We own the ProofNod software, brand, design, and trademarks. We grant you a limited, revocable, non-transferable right to use the service under these terms. No other rights are granted.
ProofNod offers a free tier and paid plans (currently Solo and Studio), billed monthly or yearly through Stripe. Prices are shown on our pricing page and may exclude taxes such as VAT, which are added where required. Paid plans renew automatically at the end of each billing period until you cancel. We will give reasonable notice before any price change.
You can cancel a paid plan at any time from your billing settings. Cancellation stops future renewals; your plan stays active until the end of the period you have already paid for, and we do not provide automatic mid-period refunds except where the law requires it.
If you are a consumer in the EU, you normally have 14 days to withdraw from a purchase. Because ProofNod is a digital service you can use immediately, by starting a paid plan you expressly request that we begin providing it at once and acknowledge that you lose the right of withdrawal once access begins.
Regardless of the above, if something goes wrong we want you to be happy: contact hello@proofnod.com within 14 days of a charge and we will consider a refund in good faith. We always refund clear billing errors.
The free tier is provided as is and may change or end at any time. Usage limits, such as the number of change orders or projects, are described on the pricing page and in the app.
The service is provided "as is" and "as available" without warranties of any kind, to the extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or that approval records will be enforceable in any particular situation.
To the extent permitted by law, our total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the claim. We are not liable for indirect or consequential losses, lost profits, or lost data. Nothing in these terms limits liability that cannot be limited by law, including your mandatory rights as a consumer.
You agree to cover our reasonable losses arising from your misuse of the service, your unlawful or infringing content, or your breach of data-protection obligations toward your clients. This does not apply where you are a consumer and the law does not allow it.
We may suspend or terminate your access if you breach these terms, fail to pay, or use the service abusively. You can stop using ProofNod at any time. After termination we may delete your data following a reasonable grace period during which you can request an export.
We do not guarantee any particular uptime, especially on free or lower tiers. We may add, change, or remove features, and will give reasonable notice of significant changes where practical.
ProofNod relies on third parties such as Stripe, Supabase, Vercel, and Resend. Their own terms may also apply to you, and we are not responsible for their availability or actions.
These terms are governed by Bulgarian law, and disputes fall under the jurisdiction of the Bulgarian courts. If you are a consumer in the EU, you keep the mandatory protections and the right to bring proceedings in your home country where the law provides it.
We may update these terms as the product evolves. For material changes we will notify account holders and update the date above. Continued use after a change means you accept the updated terms.
